John Sheehan, our Corporate Finance Partner, works proactively with Morgan Consultancy’s executive recruitment team as well as various Corporate Finance & Private Equity contacts within the professional community to identify excellent opportunities for senior commercial Finance Directors who are seeking a stake in a business ready for MBI input.

This will often be part of a Buy-In Management Buy-Out (BIMBO) transaction, in participation with one or more members of the company’s existing management team, which is often preferred by the debt or private equity funders. The Morgan Consultancy team focuses its attention on the investor “buy side” of the transaction and John’s experience and expertise is invaluable to ensure:

  • the target company has suitable MBI potential and the vendor’s expectations are realistic
  • help identify the “ideal” MBI candidate or overall team
  • develop a business plan with the MBI or BIMBO team
  • prepare the funding proposals and present to banks and other funding potential sources
  • assist with negotiations to agree Heads of Terms
  • assist due diligence process
  • assist negotiation of sale & purchase agreements
  • overall project management from start to successful completion on behalf of MBI/BIMBO buy-side team

Candidate Profile:

Specific skills are required to be part of a successful MBI process:

  • Clear evidence of adding “bottom line profit” value in previous FD/General Mgt roles.
  • Strongly developed financial and commercial/business acumen.
  • Entrepreneurial flair
  • Available Funds – typically individuals will need to input between £30k – 250k depending on the size of potential shareholding and level & projections of company profits
  • Relevant sector knowledge/experience
  • Previous “deal” involvement an advantage, although not always pre-requisite
  • Overall, powerful career achievements and personal qualities to gain support from all parties involved in the potential deal process, including critically the Banks and/or other funding sources.

Target Businesses – either:

Established business

  • profitable (annual profits £200k++ ) ;
  • cash generative ;
  • typically where key shareholder seeks immediate or short-term exit ;
  • realistically priced!

Early stage business

  • clear & realistic strategy to demonstrate strong growth potential.
